1. Acceptance of Terms

RunPitch is operated by Plardalabs ("Company", "we", "our", or "us"). By accessing or using RunPitch ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the modified terms.

2. Description of Service

RunPitch is an AI-powered tool that helps freelancers generate proposals for job applications on platforms like Upwork. The Service uses artificial intelligence to analyze job descriptions and create customized proposals based on your profile information.

3. User Accounts

• You must be at least 18 years old to use this Service
• You are responsible for maintaining the confidentiality of your account
• You agree to provide accurate and complete information
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems
• Use automated tools to scrape or abuse the Service
• Resell or redistribute the Service without authorization
• Use generated content to deceive or mislead clients
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others

5. AI-Generated Content

You acknowledge and agree that:

• Proposals are generated using AI and may require editing before submission
• AI-generated content may contain errors, inaccuracies, or inappropriate suggestions
• You are solely responsible for reviewing and editing all generated content
• We do not guarantee that proposals will result in job offers or success
• You retain ownership of your input data (profile, job descriptions)
• Generated proposals may be used to improve our AI models (in anonymized form)

6. Subscriptions and Payments

6.1 Billing

• Paid subscriptions are billed monthly in advance
• Payments are processed securely through Flutterwave
• Prices are in USD and may be subject to applicable taxes

6.2 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months

6.3 Refund Policy

Due to the nature of digital services, we generally do not offer refunds. However, if you experience technical issues that prevent you from using the Service, please contact us within 7 days of payment for consideration.

7. BYOK (Bring Your Own Key)

If you use the BYOK feature:

• You are responsible for your own API keys and associated costs
• We encrypt and securely store your API keys
• We are not responsible for charges incurred on your API accounts
• You must comply with the terms of service of API providers (OpenAI, Anthropic)

8. Intellectual Property

• The Service, including its design, code, and branding, is owned by Plardalabs
• You retain ownership of content you input into the Service
• You grant us a license to use your input to provide and improve the Service
• Generated proposals are licensed to you for your personal and commercial use

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific results from using the Service, including job offers or increased proposal acceptance rates.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLARDALABS AND RUNPITCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Plardalabs, RunPitch, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in Lagos, Nigeria.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
